This Vocaldi Supplier Agreement ("Agreement") is between you and Daniel Timothy Wilson trading as Vocaldi (ABN 72 534 144 982) ("Vocaldi", "we", "us"). Daniel Timothy Wilson is an Australian sole trader and is Vocaldi's software supplier, licensor, and product operator. This Agreement governs the Vocaldi website, beta macOS app, free trial, paid license, updates, feedback, and support.
By downloading, installing, or using Vocaldi, or by affirmatively accepting this Agreement during purchase, you agree to it. If you do not agree, do not install or use the app.
Eligibility
You must be at least 16 years old and legally able to enter into this agreement. If you use Vocaldi for work or on a Mac controlled by an organisation, you confirm that you are authorised to install and use it there. The license remains subject to the personal-use and device limits below unless we agree otherwise in writing.
Beta software
Vocaldi is currently sold as a paid beta. Beta builds may contain bugs, incomplete features, and compatibility issues. Features, compatibility, pricing for new customers, diagnostics, update behaviour, and availability may change as the product develops, subject to your purchased license rights and any mandatory consumer rights.
What Vocaldi provides
Vocaldi is a macOS app that provides on-device dictation, dictation cleanup, and Read Aloud. Known requirements and limitations include:
- an Apple Silicon Mac running macOS 14 or later;
- enough disk space for the app and speech models;
- an internet connection during initial setup to download the models;
- Microphone permission for dictation and Accessibility permission for text insertion and global shortcuts; and
- occasional internet access for license activation and checks, model downloads, update checks, and any diagnostics or feedback you choose to send.
After setup and activation, core dictation and Read Aloud processing work offline. Speech recognition and speech synthesis are probabilistic and can make mistakes. Review important output before relying on it.
Free trial
Vocaldi includes a 7-day free trial that begins on the app's first successful launch on a Mac. No payment details are required. When the trial ends, paid features are locked until a valid license is activated.
You must not manipulate the system clock, local trial records, or other technical controls to extend or restart the trial. A trial may end early if the app reasonably detects that its trial state has been tampered with.
Your license
When you buy Vocaldi, we grant you a perpetual, personal, non-exclusive, non-transferable license to install and use the app on up to 2 Macs that you own or control. You may move an activation by deactivating one Mac in Vocaldi Settings and activating another.
Your purchase includes every Vocaldi beta update and every Vocaldi 1.x update that we release. This includes version 1.0 and later feature, maintenance, and security releases whose major version remains 1. Vocaldi 2.0 and later major versions are not included and may be offered as a separate purchase.
This entitlement does not require us to create any particular update, feature, platform version, or compatibility change, or to operate online support and licensing services indefinitely. We will not retroactively reduce the number of licensed Macs, remove the beta-and-1.x update entitlement, or convert your paid license into a subscription.
The license is granted to you as an individual. It does not allow you to share or publish the license key, resell the license, rent the app, provide access to it as a hosted service, or make it available for concurrent use by other people.
Acceptable use and restrictions
You may use Vocaldi for lawful personal and work purposes. You must not:
- share, resell, publish, or fraudulently obtain license keys;
- bypass, disable, or interfere with trial, licensing, security, feedback, or update mechanisms;
- use automated requests to disrupt or overload our website, licensing, feedback, download, or update services;
- redistribute Vocaldi or a modified build, or misrepresent the source or integrity of a build;
- reverse engineer, decompile, or disassemble Vocaldi except to the extent that applicable law expressly permits it; or
- use Vocaldi in connection with unlawful, infringing, fraudulent, or abusive activity.
These restrictions do not limit rights that cannot lawfully be restricted, including any mandatory interoperability or security-research rights that apply to you.
Purchases, merchant of record, and taxes
For each checkout transaction, Polar Software, Inc. is Vocaldi's authorised reseller, merchant of record, and customer-facing seller. You purchase Vocaldi from Polar. Polar shows the price, currency, applicable customer transaction taxes, and total amount before purchase; processes payment details; issues receipts and invoices; provides the license-key infrastructure; and handles refunds and chargebacks. We do not collect or store your card number and do not issue the invoice for the checkout transaction.
Vocaldi remains the software supplier, licensor, and product operator. Vocaldi grants the license under this Agreement, operates and supports the product, and decides and initiates its voluntary refunds through Polar.
Your purchase contract with Polar is governed by the Polar Buyer Terms. This Agreement separately governs your license and use of Vocaldi. If the two agreements conflict, the Polar Buyer Terms govern checkout, payment, customer transaction taxes, receipts, refunds, and chargebacks, while this Agreement governs the product license and use of Vocaldi.
Refunds and consumer rights
We offer a 14-day voluntary, no-questions refund. If you are not satisfied with Vocaldi, contact josh@wilsonbros.dev or Polar within 14 days after purchase. Vocaldi decides voluntary refund requests and, when approved, initiates the refund through Polar. Polar returns the payment as the seller and may also issue a refund when required by law or when managing fraud, disputes, or chargeback risk. After a refund, the associated license is revoked and the app returns to an unlicensed state.
This voluntary refund is additional to rights and remedies you may have under the Australian Consumer Law or another applicable consumer law. It does not replace, shorten, or exclude those rights. Where a law gives you a longer withdrawal period, legal guarantee, repair, replacement, price reduction, refund, or other mandatory remedy, that law continues to apply.
Immediate digital supply and withdrawal rights
If you are an EEA or UK consumer and request delivery of your license key and access to Vocaldi before the statutory 14-day withdrawal period ends, supply may begin only after you give separate, express consent to immediate supply and acknowledge that your statutory right of withdrawal will be lost once supply begins. Polar Checkout records that affirmative consent and acknowledgement before supplying the license key or access.
Losing that statutory withdrawal right does not affect Vocaldi's voluntary 14-day refund, your rights when digital content is faulty or not as described, or any other mandatory consumer rights.
Updates and availability
Vocaldi uses Sparkle to check for updates. The app tells you when an update is available and installs it only with your action. Updates may correct defects, improve security, maintain compatibility, or change features. We may stop supporting old app or macOS versions when continued support is no longer reasonably practical.
We recommend staying up to date because beta fixes may ship frequently.
We may change or discontinue website, download, update, diagnostics, licensing, or support infrastructure. We will take reasonable steps to avoid unnecessarily preventing a valid perpetual license from continuing to work. No online service can be guaranteed to operate without interruption.
Your content, local data, and beta risk
You retain all rights in the audio, text, documents, and other content you process with Vocaldi. Core speech processing runs locally as described in our Privacy Policy. We do not obtain ownership of your content merely because you use the app.
Vocaldi is not a backup or system-of-record service. Documents remain in the apps where you create them. Dictation history, clipboard history, settings, and downloaded models stored by Vocaldi are local convenience data and may be lost if you erase, reset, or replace the Mac. Because this is beta software that types into and interacts with other apps, save frequently and back up important work independently.
Do not use Vocaldi as the sole basis for legal, medical, financial, safety-critical, or emergency decisions. Review transcripts and spoken output for errors.
Feedback and support material
If you send a bug report, feature request, diagnostic summary, log, attachment, or support message, you give us a non-exclusive, worldwide, royalty-free license to use that material only to provide support, investigate problems, secure the service, and improve Vocaldi. This license lasts only as long as reasonably needed for those purposes and related record-keeping.
Do not send confidential, personal, or third-party material unless it is necessary and you are authorised to share it. The Privacy Policy explains how optional feedback and attachments are handled.
Third-party services, software, and models
Vocaldi relies on third-party services described in the Privacy Policy, including Polar for checkout and licensing, Hugging Face for initial model downloads, and Sparkle for app updates. Third-party services operate under their own terms and may change independently of us.
Vocaldi also incorporates open-source software and speech models governed by their respective licenses. Those licenses apply to the relevant components and are not replaced by these Terms.
Intellectual property
Vocaldi, its branding, website design, original app code, and distributed materials are owned by Daniel Timothy Wilson trading as Vocaldi or its licensors. Except for the license expressly granted above and rights provided by third-party open-source licenses, these Terms do not transfer any intellectual property rights to you.
Australian Consumer Law and other mandatory guarantees
Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. Depending on the circumstances, these can include guarantees that software is of acceptable quality, matches its description, and is reasonably fit for a disclosed purpose. Consumers in other countries may have similar mandatory rights.
Nothing in these Terms excludes, restricts, or modifies a consumer guarantee, statutory warranty, right, remedy, or liability that cannot lawfully be excluded, restricted, or modified.
Disclaimers
Subject to the mandatory rights above, Vocaldi is provided on an "as available" basis. We do not promise that speech output will always be accurate, that every third-party app or future macOS version will remain compatible, or that online services will always be uninterrupted or error-free.
Any description of a feature, compatibility requirement, privacy boundary, license entitlement, or refund promise that we publish forms part of the basis on which you decide whether to use or purchase Vocaldi. Nothing in this section permits us to make misleading statements or avoid an express commitment.
Limitation of liability
Nothing in these Terms limits liability for fraud, wilful misconduct, or any liability or remedy that applicable law does not allow us to limit.
To the extent the law permits, we are not liable for indirect or consequential loss that was not reasonably foreseeable when you agreed to these Terms. You are responsible for saving and backing up work stored in other apps and on your Mac. Any permitted limitation must be read subject to the Australian Consumer Law, unfair-contract-term rules, and mandatory consumer protections in your place of residence.
Suspension and termination
We may suspend online services or revoke a license if you materially breach these Terms, including by sharing a key or bypassing licensing controls. Unless urgent action is reasonably necessary to protect users, security, or the service, we will notify you and give you a reasonable opportunity to fix a remediable breach before revocation.
A refunded or fraudulently obtained license may be revoked. We will not revoke a valid paid license merely because you stop using support, decline diagnostics, or disagree with a future change to these Terms. You may stop using Vocaldi and uninstall it at any time.
Provisions that by their nature need to continue after termination, including intellectual property, feedback permissions, consumer rights, disclaimers, and liability provisions, remain in effect.
Changes to this Agreement
We may update this Agreement to reflect product, legal, or operational changes. The "Last updated" date and version identify the current Agreement. We will give reasonable notice through the website or app before a material change takes effect where practicable.
Changes apply prospectively. They do not retroactively reduce the device count, update entitlement, perpetual nature, or other material rights attached to a license you already purchased. If a change materially and adversely affects your paid use and applicable law does not already provide a remedy, contact us so we can provide a fair remedy.
Governing law and disputes
This Agreement is governed by the laws of Western Australia, Australia. Courts in Western Australia may hear disputes about this Agreement. If mandatory consumer law in your place of residence gives you additional rights, applies another law, or allows you to bring a claim locally, those rights are unaffected.
Before starting formal proceedings, you and Vocaldi should try in good faith to resolve the issue through support, unless urgent relief is needed or the law allows you to proceed directly.
General
If a court finds part of this Agreement invalid or unenforceable, the remaining parts continue to apply to the extent they can operate independently. A failure to enforce a term immediately is not a waiver of that term. This Agreement, the Privacy Policy, applicable checkout terms, and any mandatory legal rights govern your use and purchase of Vocaldi.
